Welcome to elitegearstore.com (the "Site"), which is owned and operated by Hong Kong Fengji Network Technology Limited ("Elite Gear Store", "we", "us" or "our"). These Term of Service (the "Terms") govern your access to and use of the Site and the purchase of any products offered on the Site.

Please read these Terms carefully before using the Site or placing an order. By browsing the Site, registering an account, placing an order, or otherwise using any part of the Site, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree with these Terms, please stop using the Site and do not place an order.

These Terms include important provisions on the exclusion and limitation of liability, the rules on returns and refunds, and the law and forum that apply to any dispute. Please read them in full.

1. About These Terms

1.1 These Terms consist of this document and the following additional policies published on the Site, each of which is incorporated into and forms an integral part of these Terms and has the same legal effect:

(a) our Privacy Policy;

(b) our Delivery Information;

(c) our Return & Refund Policy; and

(d) our FAQ and any other rules, guidelines, notices or policies published on the Site from time to time.

1.2 If there is any conflict or inconsistency between these Terms and any other policy published on the Site, these Terms shall prevail, except in respect of (i) our Privacy Policy, which prevails on matters of personal data, and (ii) any policy that expressly states that it prevails over these Terms.

1.3 Where you place an order, the version of these Terms in effect at the time you submit your order applies to that order. You should review these Terms before submitting any order.

1.4 Nothing in these Terms excludes, restricts or modifies any right or remedy you have under any consumer protection law that applies to you and that cannot lawfully be excluded, restricted or modified. Where such a law applies, our obligations and liabilities are limited only to the extent permitted by that law.

2. Definitions

2.1 In these Terms, unless the context requires otherwise:

(a) "Account" means the user account you register on the Site;

(b) "Order" means an offer made by you to purchase products through the Site;

(c) "Products" means the apparel and other goods offered for sale on the Site, including shirts, polo shirts, hoodies, sweaters, jackets and coats, tracksuits, sportswear and customised or embroidered garments;

(d) "Site" means the website located at elitegearstore.com and any related mobile or application versions of that website; and

(e) "you" or "your" means the person accessing or using the Site, whether as a visitor, a registered user or a customer.

3. Eligibility, Registration and Account Security

3.1 You must be at least 18 years old, or the age of legal majority in your place of residence, to place an order on the Site. If you are under 18 years of age, you may use the Site only with the involvement, supervision and consent of a parent or legal guardian, and any order you place must be made by or with the consent of that parent or guardian.

3.2 You confirm that any information you provide to us, whether when registering an Account, placing an Order or contacting us, is true, accurate, current and complete, and that you will update that information promptly if it changes. This includes the name, email address, telephone number and delivery address you provide.

3.3 You are responsible for keeping your Account credentials confidential and for all activity that occurs under your Account. You must notify us immediately at [email protected] if you believe your Account has been accessed or used without your authorisation.

3.4 We may refuse to open an Account, or suspend, restrict or close an Account, where we reasonably believe that the information provided is false, inaccurate, incomplete or misleading, that the Account has been used contrary to these Terms, or that the Account has been used for a fraudulent or unlawful purpose.

3.5 You are solely responsible for any taxes, duties, levies and charges that apply to you, and for the hardware, software, communications and other costs you incur in accessing and using the Site.

4. Products, Descriptions, Sizing and Availability

4.1 We use reasonable care to describe and display the Products accurately. However, the Site may contain typographical errors, inaccuracies or omissions in product descriptions, pricing, availability or other content, and we may correct them at any time without notice.

4.2 The appearance of colours, fabrics, textures and finishes may differ from the images shown on the Site depending on your screen settings, lighting and device. Measurements and size charts are provided as a guide only, and garments may vary by approximately 1–3 cm due to manufacturing and measurement tolerances. Such differences do not constitute a defect.

4.3 Unless expressly stated otherwise, any size recommendations, product photographs, videos, styling suggestions or descriptions on the Site are provided for general information only and do not form part of a binding specification of the Products.

4.4 Product availability is not guaranteed. Stocks are limited, items may sell out or be withdrawn at any time, and items in your cart or on your wishlist are not reserved until your Order has been accepted and processed.

4.5 Certain Products may be made to order, produced by our manufacturing partners, or sourced on request. Where a Product is made to order, the production and dispatch times stated in the product listing or confirmed by our customer service team will apply.

5. Orders and Order Acceptance

5.1 Any content on the Site, including product listings and the ability to add items to your cart, is an invitation to make an offer and does not constitute a binding offer by us to sell.

5.2 Your Order constitutes an offer to purchase the Products selected at the prices and on the terms shown at the time you submit it. Receipt of an order confirmation or a payment authorisation notice does not by itself mean that we have accepted your Order.

5.3 An Order is accepted, and a contract of sale between you and us is formed, only when we confirm acceptance of the Order, for example by confirming that the Order has passed quality inspection and is being dispatched, or by issuing a tracking number.

5.4 We reserve the right, at our discretion and without liability, to refuse, limit, reject or cancel any Order, in whole or in part, including where:

(a) the Product is no longer available, is out of stock or has been withdrawn;

(b) the price or description shown was affected by a manifest error, misprint or technical fault;

(c) we are unable to obtain authorisation for, or complete, your payment;

(d) we suspect that the Order is fraudulent, unlawful, abusive, placed for an improper purpose, or placed by a person who has previously breached these Terms; or

(e) the Order is for an unusually large quantity or is inconsistent with normal consumer or trade purchasing patterns, and we are unable to verify it.

5.5 If we cancel an Order after payment has been received, we will refund the amount received for the cancelled Order to your original payment method. That refund is our sole obligation in respect of the cancelled Order.

5.6 Where you place an Order, you authorise us to contact you by email, telephone, SMS or messaging application in relation to that Order, including to verify order details, size, colour, address and payment information.

6. Prices, Taxes, Duties and Payment

6.1 Prices shown on the Site are stated in the currency selected by you. Prices are exclusive of any sales tax, value added tax, goods and services tax or similar taxes and of any customs duties unless expressly stated otherwise.

6.2 Prices, products, promotions and shipping arrangements may be changed at any time without notice. The price that applies to your Order is the price displayed at the time you submit the Order, subject to clause 5.4(b).

6.3 Currency conversion, exchange rate margins and any transaction fees charged by your bank, card issuer or payment provider are your responsibility and are outside our control. If your payment method is denominated in a currency other than the currency in which your Order is settled, the final amount charged may differ from the amount displayed on the Site.

6.4 Import duties, customs fees, clearance charges, brokerage fees and any other taxes or charges imposed by the destination country or any authority are your responsibility. We are not able to predict or control these amounts, and they are not included in the price you pay to us. If you refuse to pay any such charge and the parcel is returned to us or destroyed, we may deduct the resulting costs, including return shipping and any charges imposed on us, from any refund due to you.

6.5 We prepare customs documentation for each shipment in accordance with applicable laws and regulations, and we describe the goods and their value accurately on that documentation.

6.6 We accept payment by major credit and debit cards, including Visa, Mastercard, American Express and Discover, and by PayPal. Where offered, we may also accept other payment methods, including Western Union. Available payment methods are displayed at checkout or confirmed by our customer service team.

6.7 You confirm that you are authorised to use the payment method you select, and that the billing information you provide is accurate. Where a payment is not authorised, is reversed, or is subject to a chargeback, we may suspend or cancel the relevant Order, withhold dispatch, and suspend or close your Account pending resolution of the matter.

6.8 Card payments are processed by third-party payment providers. We do not store full card numbers after a transaction is complete. Please refer to our Privacy Policy for further information.

7. Shipping, Delivery, Title and Risk

7.1 Orders are normally processed within 2–3 business days after the Order details have been confirmed, during which time we carry out quality inspection and pack your items. Processing times may be longer during peak periods, public holidays or for made-to-order and bulk Orders.

7.2 We ship using trusted carriers, which may include UPS, FedEx, USPS, DHL and 4PX, selected according to your destination and the size of your Order. Delivery is typically completed within 5–12 business days after dispatch, although this period varies according to destination, carrier, customs clearance and other factors outside our control.

7.3 Delivery estimates are estimates only and are not guaranteed delivery dates. We are not liable for delays caused by carriers, customs authorities, postal services or any other cause outside our reasonable control, as further described in clause 19.

7.4 Where your Order contains multiple items, it may be shipped in more than one parcel, and separate parcels may arrive on different dates.

7.5 You are responsible for providing a complete, accurate and deliverable shipping address and reachable contact details. If a parcel is returned to us, or cannot be delivered, because the address or contact details you provided were incorrect or incomplete, because nobody was available to receive the parcel, or because the parcel was refused or uncollected, then:

(a) any free shipping benefit that was applied to your Order will not be re-offered; and

(b) you will be responsible for the cost of reshipping the parcel to you, or for any other charges we incur as a result.

7.6 You should inspect your parcel on arrival. If a parcel arrives visibly damaged, please note the damage with the carrier where possible and contact us promptly.

7.7 Title to and risk of loss of the Products pass to you upon delivery of the Products to the delivery address you have provided.

7.8 Optional shipping insurance is available for purchase on the Site. If you have purchased shipping insurance and a parcel is confirmed lost in transit, we will, at our option, arrange a replacement or refund the amount you paid for the lost Products. Where shipping insurance has not been purchased, we will still reasonably assist you in investigating a lost parcel with the carrier, but our ability to replace lost Products is limited by the carrier's liability terms.

7.9 You are responsible for complying with all import requirements, restrictions and prohibitions that apply in the destination country.

8. Cancellations, Exchanges, Returns and Refunds

8.1 This clause summarises the key terms of our Return & Refund Policy, which forms part of these Terms and prevails in the event of any inconsistency with this clause 8.

Cancellation

8.2 You may cancel your Order, and receive a full refund without deduction, at any time before the Order has been shipped or produced. Please contact us as soon as possible at [email protected] if you wish to cancel.

8.3 Once an Order has been shipped, it is not possible for us to recall, stop or cancel the shipment, and cancellation is no longer available. Orders that have entered production, including customised, personalised and bulk Orders, cannot be cancelled.

Exchanges

8.4 Where you have selected the wrong size, colour or item by mistake, we are pleased to offer an exchange. You are responsible for the shipping costs of sending the item back to us and for the cost of sending the replacement item to you.

8.5 Our customer service team is available before dispatch to confirm the details of your Order, including size, colour, style and quantity. We encourage you to confirm these details with us so that the correct items are sent.

Returns

8.6 We accept returns in the following circumstances:

(a) Wrong item shipped — we dispatched a Product that differs from the Product you ordered. We photograph items before dispatch, and those photographs are used to verify the position; or

(b) Defective item received — the Product arrives with a manufacturing defect or fault.

8.7 Change-of-mind returns are not accepted, other than by way of the exchange described in clause 8.4.

8.8 To make a return, you must:

(a) contact us to obtain the correct return address and return instructions before sending anything back — parcels sent to any other address, or without prior contact, may not be accepted;

(b) raise the claim within 30 days after delivery of the Products;

(c) ensure that the returned item is unworn, unwashed and unaltered, with all original tags, labels, accessories and packaging intact; and

(d) provide reasonable evidence of the issue, such as clear photographs of the item, its labels and its packaging.

Refunds

8.9 Once we receive and inspect the returned item, we will confirm receipt by email and notify you whether the refund has been approved. If approved, the refund will be processed and credited to your original payment method within a few business days.

8.10 Shipping and handling charges are not refundable. If a refund is approved in respect of a wrong or defective item, we will also refund the original shipping charge where one was paid, or reimburse reasonable return shipping costs where they were agreed with us in advance.

8.11 If you have not received a refund that we have confirmed, please check your bank account, contact your card issuer or bank, and then contact us at [email protected]. Refunds may take additional time to appear on your statement depending on your payment provider.

8.12 We reserve the right to refuse a return or refund, or to make a partial refund, where the item has been used, washed, altered, damaged after delivery, or returned without the original tags and packaging, or where the claim is not supported by the evidence reasonably required under clause 8.8.

9. Custom, Bulk, Wholesale and Dropshipping Orders

9.1 We welcome bulk, wholesale, resale and dropshipping enquiries. Please contact us at [email protected] for a catalogue and details of current terms.

9.2 Customised, personalised, embroidered and made-to-order Products are produced to your specification. You are responsible for ensuring that any artwork, logo, text, size breakdown and specification you supply is accurate, complete and lawfully usable by you.

9.3 You warrant that any artwork, logo, trademark, design or other material you provide to us does not infringe the intellectual property rights, or any other rights, of any third party, and that you have all necessary rights, licences and consents to have it reproduced on the Products.

9.4 Custom, personalised, made-to-order and bulk Orders are non-cancellable and non-returnable once production has commenced, except where the Products are defective or differ from the agreed specification. Where you believe a custom Order is defective or incorrect, clause 8 applies.

9.5 Production and delivery lead times for custom, bulk, wholesale and dropshipping Orders are agreed separately and may be longer than the standard times stated in clause 7.

9.6 Unless expressly agreed in writing, we may reject any artwork or specification that we consider unlawful, offensive, defamatory, infringing or otherwise unsuitable.

10. Promotions, Coupons and Discounts

10.1 Promotions, discount codes, coupons, bundle offers and free shipping offers are subject to the terms published with them, are valid only for the period stated, and may be withdrawn or amended at any time.

10.2 Unless stated otherwise, promotional offers and codes cannot be combined, are not transferable, have no cash value, and apply only to eligible items.

10.3 Where a promotion or discount has been applied to an Order that is subsequently cancelled or refunded, we may adjust the refund accordingly, including by deducting the value of any benefit you would not have received had the discount not applied.

10.4 Prices shown as "special offers" or during sales events are available for a limited time and while stocks last.

11. Acceptable Use

11.1 You agree that you will not, and will not permit or assist any third party to:

(a) use the Site in breach of any applicable law or regulation, or in breach of these Terms;

(b) post, upload or transmit any content that is unlawful, defamatory, obscene, offensive, harassing, discriminatory, misleading or infringing;

(c) use any robot, spider, scraper, crawler, automated script or similar device or program to access, monitor, copy, harvest or extract data or content from the Site, or to place Orders or engage in any other activity on the Site;

(d) probe, scan or test the vulnerability of the Site or its systems, or breach or attempt to breach the security or authentication measures of the Site;

(e) impose an unreasonable or disproportionately large load on the Site's infrastructure or interfere with, disrupt or attempt to interfere with the normal operation of the Site or any transaction or activity on the Site;

(f) use any content or data from the Site for commercial purposes without our prior written consent, other than as permitted under clause 9;

(g) use another person's Account or payment method without authorisation, or place an Order using false, stolen or misleading information;

(h) engage in fraudulent or abusive activity, including premeditated credit card chargebacks, fraudulent refund claims, or the purchase of Products with a stolen or unauthorised payment instrument; or

(i) impersonate us, our staff or any other person, or misrepresent your affiliation with any person.

11.2 We may investigate any suspected breach of this clause 11. Where we reasonably believe that you have breached these Terms, we may take such action as we consider appropriate, including issuing a warning, cancelling or refusing Orders, removing or refusing to publish content, restricting or suspending your access to the Site, closing your Account, reporting the matter to law enforcement or other authorities, and taking legal action against you.

11.3 We may disclose information about you to law enforcement, regulatory, judicial or administrative authorities where required or permitted by law, or where we reasonably believe that disclosure is necessary to investigate or prevent unlawful activity, fraud or harm.

11.4 We may investigate and determine, in our reasonable discretion, whether your conduct breaches these Terms. We may take the actions described in clause 11.2 without prior notice to you where we consider that immediate action is necessary.

11.5 If your breach causes loss or damage to any third party, you are solely responsible for that loss or damage. If your breach causes loss or damage to us, or exposes us to any claim, you must compensate us as set out in clause 18.

12. User Content and Reviews

12.1 The Site may allow you to submit reviews, ratings, comments, photographs, questions or other content ("User Content"). You retain ownership of your User Content.

12.2 By submitting User Content, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable and sub-licensable licence to use, reproduce, publish, display, adapt, translate, distribute and otherwise exploit that User Content in connection with the Site, our Products and our marketing and promotional activities, in any media, without further notice or compensation to you.

12.3 You warrant that you own or control all rights in the User Content you submit, that the User Content is accurate and not misleading, and that our use of it as permitted by this clause does not infringe the rights of any third party or breach any law.

12.4 We may, but are not obliged to, review, moderate, edit, refuse to publish or remove any User Content at any time, including where we consider it to breach these Terms.

13. Intellectual Property

13.1 All intellectual property rights in the Site, including copyright, trade mark, design, patent, database and other rights in the text, graphics, logos, photographs, product images, icons, audio and video clips, data compilations and software, and in the layout, look and feel and colour schemes of the Site, are owned by us, our affiliates or our licensors. All such rights are reserved.

13.2 You may view, download and print pages from the Site for your own personal, non-commercial use, and may share links to the Site, provided that you do not remove any copyright or proprietary notices.

13.3 You may not, without our prior written consent, copy, reproduce, republish, upload, post, transmit, distribute, sell, license, modify, create derivative works from, publicly display or otherwise use any content from the Site, including in connection with any other website, product or service.

13.4 You may not frame, mirror or otherwise incorporate any part of the Site into any other website, application or service, and you may not use our trade marks, logos, product names or branded elements without our prior written consent.

13.5 We will take appropriate legal action against any infringement of the rights described in this clause 13.

14. Privacy and Data Protection

14.1 Our Privacy Policy sets out how we collect, use, store, share and protect your personal information, and how you can exercise your rights in relation to that information. It forms part of these Terms.

14.2 By using the Site, you consent to the collection, use and disclosure of your personal information as described in our Privacy Policy, including the use of cookies and similar technologies and the sharing of information with payment processors, carriers and other service providers that help us operate the Site and fulfil Orders.

14.3 You are responsible for keeping your Account password secure and for maintaining the confidentiality of your Account. Please notify us promptly if you believe your personal information or Account has been compromised.

15. Third-Party Services, Links and Trade Marks

15.1 The Site may link to, or integrate with, websites, services and content operated by third parties, including payment providers, carriers, social media platforms and analytics providers. We do not control those third parties and are not responsible for their content, products, services, practices or privacy policies.

15.2 Your use of any third-party website or service is governed by that third party's own terms and policies, and any dealings you have with a third party are between you and that third party.

15.3 Third-party trade marks, brand names and logos that appear on the Site belong to their respective owners. Their appearance does not imply any endorsement, affiliation or sponsorship of or by us unless expressly stated.

15.4 Where our Products are described by reference to a size, fit, style or compatibility with a third-party product, such references are provided for descriptive and identification purposes only.

16. Disclaimer of Warranties

16.1 The Site and its content are provided on an "as is" and "as available" basis. While we take reasonable care in operating the Site and describing our Products, we do not warrant that the Site will be uninterrupted, timely, secure, error-free or free of viruses or other harmful components, or that any information, content, product description or other material on the Site is accurate, complete, reliable, current or suitable for a particular purpose.

16.2 Information on the Site is based on information supplied by our suppliers and manufacturing partners, and on our own quality control processes. The Site functions as a sales and information platform through which Products are offered to you, and you are responsible for making your own assessment of whether a Product meets your requirements, including as to size, fit, colour, style and suitability.

16.3 Except where expressly required by applicable law, we are not obliged to review in advance your registration information, Orders, communications or other activity on the Site. We may, but are not obliged to, monitor activity on the Site to detect and prevent breaches of these Terms.

16.4 To the fullest extent permitted by law, we exclude all warranties, representations, conditions and terms that are not expressly set out in these Terms, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and quiet enjoyment.

17. Limitation of Liability

17.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

17.2 Subject to clause 17.1, and to the fullest extent permitted by applicable law, we are not liable for:

(a) any indirect, special, incidental, punitive or consequential loss or damage;

(b) any loss of profit, loss of business, loss of opportunity, loss of goodwill or reputation, loss of anticipated savings, or loss or corruption of data; or

(c) any loss or damage arising from your use of, or inability to use, the Site; unauthorised access to or alteration of your Account or data by a third party; your purchase of, or reliance on, any Product, information or content obtained through the Site; your misunderstanding of the Site, its content or these Terms; or any other matter relating to the Site that is not caused by us,

in each case whether the loss was foreseeable or whether we were advised of the possibility of such loss.

17.3 Subject to clauses 17.1 and 17.2, and to the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with any Order, or your use of the Site, shall not exceed the total amount you paid to us for the Products giving rise to the claim.

17.4 You acknowledge that the disclaimers and limitations in this clause 17 are reasonable given the nature of the Site and the prices of the Products, and that we would not be able to offer the Products at those prices without them.

18. Indemnity

18.1 You agree to indemnify, defend and hold harmless Elite Gear Store, Hong Kong Fengji Network Technology Limited and their affiliates, and each of their respective directors, officers, employees, agents and contractors, from and against any and all claims, actions, proceedings, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach of these Terms or of any law or regulation;

(b) your use of the Site or the Products, including any use that is unlawful or inconsistent with these Terms;

(c) any User Content or any artwork, logo, design, text or material you submit to us;

(d) any claim that material you supplied to us infringes the intellectual property or other rights of a third party; or

(e) any fraud, wilful misconduct or misuse of the Site, an Account or a payment method by you.

18.2 This clause 18 survives the termination of these Terms and the closure of your Account.

19. Force Majeure

19.1 We are not liable for any failure or delay in performing our obligations under these Terms, and no such failure or delay will be treated as a breach of these Terms, where it results from any cause beyond our reasonable control.

19.2 Such causes include, without limitation: failures of the internet, telecommunications, hosting or payment infrastructure; power failures; equipment or software failure; network connection failures; cyber-attacks, hacking or denial-of-service attacks; strikes, lockouts and other industrial action; civil unrest, riot, insurrection or disorder; shortages of labour, raw materials or production capacity; acts of government or orders of any judicial, administrative or regulatory authority; customs delays or border closures; epidemics or pandemics; fire, flood, storm, earthquake, explosion or other natural disaster; war, armed conflict or terrorism; and any act or omission of a third party, including carriers, suppliers, manufacturers and payment processors.

19.3 If a force majeure event continues for a prolonged period, either party may cancel the affected Order, and we will refund any amount paid for Products that have not been delivered.

20. Suspension and Termination

20.1 We may suspend, restrict or terminate your access to the Site, or close your Account, immediately and without notice if we reasonably believe that you have breached these Terms or any applicable law, or if we are required to do so by law or by a competent authority.

20.2 You may close your Account at any time by contacting us at [email protected]. Closing your Account does not affect Orders that have already been accepted, or any right or obligation that arose before closure.

20.3 The following provisions survive termination, closure of your Account or the end of your relationship with us: clauses 2, 6, 10, 12, 13, 16, 17, 18, 21, 22 and 23, together with any other provision that by its nature is intended to survive.

20.4 Following termination, we may retain your registration and transaction records in accordance with our Privacy Policy and applicable law, and we may still enforce our rights against you in respect of any breach of these Terms that occurred while your Account was active or before termination.

21. Governing Law and Dispute Resolution

21.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, including any non-contractual dispute or claim, are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China.

21.2 Where any provision of these Terms conflicts with any mandatory provision of applicable law, that provision shall be construed and applied in a manner consistent with the law, and the remaining provisions of these Terms shall remain in full force and effect.

21.3 If a dispute arises out of or in connection with these Terms or an Order, the parties shall first attempt to resolve the dispute amicably. Please contact us at [email protected] with details of the dispute, and we will make reasonable efforts to resolve the matter within 30 days.

21.4 If a dispute is not resolved amicably, either party may refer the dispute to the courts of the Hong Kong Special Administrative Region, which shall have jurisdiction, subject to any mandatory right you may have under consumer protection law to bring proceedings in the courts of your place of residence.

21.5 You acknowledge the cross-border nature of the internet and agree to comply with all laws and regulations applicable to you, including those relating to online conduct and content, and those relating to the export and transmission of technical data.

22. Changes to These Terms

22.1 We may revise, amend, supplement or replace these Terms, and any policy published on the Site, at any time and at our discretion, by publishing the revised version on the Site. The revised version takes effect when it is published, and we will update the "Last updated" date accordingly.

22.2 Where we make material changes, we will take reasonable steps to bring them to your attention, for example by notice on the Site or by email. It is your responsibility to review these Terms periodically.

22.3 You should review these Terms before submitting any Order. By submitting an Order, you confirm your acceptance of the version of these Terms in effect at that time. If you do not agree to a revised version of these Terms, you should stop using the Site.

23. General Provisions

23.1 Severability. If any provision of these Terms is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction, that provision shall be severed or modified to the minimum extent necessary, and the legality, validity and enforceability of the remaining provisions of these Terms, and of that provision under the law of any other jurisdiction, shall not be affected.

23.2 No waiver. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise of any right precludes any further exercise of that or any other right.

23.3 Assignment. You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or sub-contract our rights and obligations under these Terms to any affiliate or successor, including in connection with a merger, acquisition, reorganisation or sale of assets.

23.4 Entire agreement. These Terms, together with the policies incorporated into them, constitute the entire agreement between you and us in relation to the Site and the Products, and supersede all prior discussions, communications and understandings on that subject.

23.5 Third party rights. A person who is not a party to these Terms has no right to enforce any provision of them, save that our affiliates and their respective directors, officers, employees, agents and contractors may rely on and enforce the provisions of clauses 17 and 18.

23.6 Electronic communications. You agree that we may communicate with you electronically, including by email and by notices published on the Site, and that such communications satisfy any requirement for written notice.

23.7 Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails in the event of any conflict or ambiguity.

23.8 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, franchise or employment relationship between you and us.
